1. Scope of Application

These Terms and Conditions govern the leasing and purchase agreements between ibox management GmbH (hereinafter referred to as “iBox”) and private or commercial customers (hereinafter referred to as “Customers”). By leasing or purchasing iBox products, the Customer acknowledges and agrees to these Terms and Conditions in their current version.
These Terms and Conditions apply to all future transactions without requiring repeated confirmation. Any modifications, deviations, or additional agreements shall only be valid if confirmed in writing by iBox.
Conflicting or deviating terms from the Customer shall not apply unless expressly agreed upon in writing.

2. Contract Language

The contract language is English. All communication, customer support, and complaint resolutions shall be provided in English.

3. Applicable Law, Jurisdiction, and Place of Performance

These Terms and Conditions and contracts concluded under them shall be governed by Austrian law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive jurisdiction for all disputes shall be the competent courts of Feldbach, Austria. The place of performance for all contractual obligations is the registered office of iBox.

4. Data Protection

iBox processes personal data (e.g., name, company, email, phone number) collected via the website or leasing agreements in compliance with the General Data Protection Regulation (GDPR).
Customer data is stored for order fulfillment and customer support and will not be shared with third parties except for necessary order fulfillment purposes (e.g., logistics providers).

5. Contract Formation

Leasing Agreements

A legally binding lease agreement is established when the Customer submits a leasing request and iBox provides formal written confirmation of acceptance. The terms and conditions governing the lease, including but not limited to the leasing duration, payment obligations, maintenance responsibilities, and termination conditions, are stipulated in the respective leasing agreement. Once executed, the lease agreement is irrevocably binding, and any termination or modification shall be subject to the specific provisions outlined therein.

Purchase Agreements

All purchase offers presented by iBox are subject to availability and are non-binding until expressly accepted in writing. A legally enforceable purchase contract is concluded upon iBox’s written confirmation of the Customer’s order or upon receipt of full payment, whichever occurs first. iBox reserves the right to decline any purchase order at its discretion and without stating reasons.

6. Leasing Conditions

Lease Duration:

The standard lease period and renewal options will be specified in the contract. Early termination is subject to cancellation fees unless otherwise agreed.

Lease Payments:

• Monthly lease payments are due in advance unless specified otherwise.
• Payments must be made via the agreed payment methods, including bank transfer or direct debit.

Ownership and Responsibilities:
The iBox remains the property of ibox management GmbH throughout the lease term.

Termination:

• The lease may be terminated at the end of the lease term by providing prior written notice, as specified in the agreement.
• Early termination requires the return of the iBox in its original condition and may incur additional costs.

7. Collection and Delivery

Customers can choose between collecting the iBox from the designated warehouse or opting for delivery to the specified address.
Delivery charges apply and will be communicated at the time of contract conclusion. Delivery times are approximate and subject to availability.
If the Customer provides incorrect delivery details or fails to receive the shipment, any additional costs incurred will be the responsibility of the Customer.

8. Customer Obligations

The Customer must:

• Provide accurate and up-to-date information.
• Use the iBox in accordance with the user guidelines provided.
• Report any malfunctions or issues promptly.
• Notify iBox of any changes to business details (e.g., address, contact information).

Failure to comply may result in termination of the lease and potential financial penalties.

9. Prices, Payment, and Late Payment

All prices quoted are net prices and exclude VAT, packaging, or shipping costs.
Unless otherwise agreed, payments are due upon invoice issuance. Late payments will incur interest charges as per applicable legal regulations.

10. Retention of Title

For purchased products, ownership is retained by iBox until full payment is received. Customers must handle the product with care and must not resell or modify the product until ownership is transferred.
In case of non-payment, iBox reserves the right to reclaim the delivered products.

11. Warranty and Liability

For Leased Products:
iBox is responsible for ensuring that leased units are functional and maintained according to the agreed terms. Customers must report issues immediately to arrange repairs or replacements.

For Purchased Products:

The statutory warranty period applies to all purchased products. Defects must be reported within 8 days of delivery; otherwise, the goods shall be deemed accepted.

Liability:

iBox shall not be liable for:

• Indirect or consequential damages.
• Damage due to improper handling, installation, or unauthorized modifications.
• Loss of revenue due to operational downtime.

12. Force Majeure

iBox shall not be held liable for delays or non-performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, governmental actions, or supply chain disruptions.

14. Final Provisions

iBox reserves the right to update these Terms and Conditions at any time. The latest version will always be available on the website, and Customers will be informed of any significant changes.
By leasing or purchasing iBox products, the Customer acknowledges and accepts these Terms and Conditions.
